The Site is owned and operated by Hudson Valley Skin Care, a division of NuDerma LLC (“Hudson Valley Skin Care,” “NuDerma,” “we,” “us,” or “our”).
These Terms of Service (“Terms”) govern your access to and use of the Site, including purchases, accounts, subscriptions, pre-orders, reviews, and other interactions with our Site and services.
By accessing or using the Site, placing an order, creating an account, or otherwise interacting with our services, you acknowledge that you have read, understood, and agree to these Terms and our Privacy Policy.

1. Use of the Site
You agree to use the Site only for lawful purposes and in accordance with these Terms.

5. Subscriptions and Automatic Renewals
Certain products may be offered through recurring subscriptions or automatic-renewal programs.
Before subscribing, the applicable subscription price, billing frequency, renewal terms, and cancellation method will be presented to you.
By purchasing a subscription, you authorize us or our payment processor to charge the applicable payment method according to the subscription terms you selected.
You may cancel your subscription before the next scheduled charge using the cancellation method provided through your customer account, subscription-management link, or other method made available to you.
We may modify or discontinue a subscription offering, subject to applicable law and any required notice.
6. Pre-Orders
Certain products may be offered for pre-order.
The expected availability or shipping timeframe for a pre-order will be disclosed at the time of purchase to the extent reasonably known.
Pre-order availability dates are estimates unless expressly stated otherwise.
If we are unable to fulfill a pre-order, we will provide an appropriate refund or other remedy as required by applicable law.

We are not obligated to use any Submission and may remove or decline to publish any Submission at our discretion.

The Site may use or connect to third-party services, including payment processors, Shopify, shipping providers, email and SMS providers, analytics services, review platforms, loyalty programs, advertising platforms, social media platforms, and other technology providers.
These third-party services may collect or process information according to their own terms and privacy policies.

If you separately opt in to receive SMS or text messages from Hudson Valley Skin Care, you consent to receive text messages at the mobile number you provide, including promotional messages, transactional messages, order updates, reminders, or other messages consistent with the consent you provided.
Message frequency varies.
Consent to receive marketing text messages is not a condition of purchasing any product or service.
Message and data rates may apply depending on your mobile carrier and plan.
You may opt out of marketing text messages at any time by replying STOP. You may request assistance by replying HELP.
After you send STOP, you may receive a final message confirming your unsubscribe request. You will no longer receive marketing messages unless you subsequently provide a new consent.
We are not responsible for delayed or undelivered text messages caused by your carrier or other third-party telecommunications providers.
13. Disclaimers

To the maximum extent permitted by applicable law, our total aggregate liability arising out of or relating to the Site, these Terms, or any product or service purchased through the Site will not exceed the greater of:
(a) the amount you paid to NuDerma LLC for the specific product or service giving rise to the claim during the twelve (12) months preceding the event giving rise to the claim; or
(b) $100.
This limitation applies regardless of the legal theory on which a claim is based, including contract, tort, negligence, warranty, or otherwise, to the maximum extent permitted by law.
Nothing in these Terms limits liability that cannot legally be limited or excluded under applicable law.
15. Indemnification
To the maximum extent permitted by applicable law, you agree to indemnify and hold harmless NuDerma LLC, Hudson Valley Skin Care, and their respective officers, employees, agents, affiliates, and service providers from claims, liabilities, damages, losses, and reasonable expenses arising from:

your violation of these Terms;

your unlawful or unauthorized use of the Site;

your violation of applicable law;

your infringement or violation of another person's intellectual property, privacy, publicity, or other rights; or

content or materials you submit to the Site that violate these Terms or the rights of another person or entity.
This provision does not require you to indemnify us for our own conduct to the extent such indemnification is prohibited by applicable law.

17. Fraud, Abuse, and Unauthorized Activity
We reserve the right to investigate suspected fraud, abuse, unauthorized transactions, account misuse, coupon or promotional abuse, repeated fraudulent chargebacks, unauthorized resale, or other activity that may harm our business, customers, employees, service providers, or Site.
Where permitted by law, we may cancel orders, restrict purchases, suspend accounts, limit promotional offers, or take other reasonable action in response to suspected fraudulent or abusive activity.
18. Governing Law and Venue
These Terms and any dispute arising from or relating to these Terms or your use of the Site will be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict-of-law principles, except to the extent federal law or another mandatory law applies.
To the extent a dispute may legally be brought in court and venue may lawfully be limited by agreement, you consent to the jurisdiction and venue of the state and federal courts located in Dutchess County, New York.
Nothing in this section prevents a consumer from exercising any right to bring a claim in a forum where applicable law requires that the claim be heard.
19. No Waiver of Non-Waivable Rights
Nothing in these Terms is intended to waive, limit, or eliminate any right, remedy, warranty, protection, or cause of action that cannot legally be waived under applicable federal, state, or local law.
